Overview
Senior Governance Leadership Role
This is a rare opportunity for an experienced Company Secretary to step into a genuinely influential governance role, working at the centre of the organisation’s decision-making.
Reporting to the Chair and partnering closely with the Board and Executive, you will be the trusted adviser on directors’ duties, statutory obligations and good governance. You will help shape how decisions are made, ensuring the organisation is governed with rigour, clarity and confidence.
This role is not about governance theatre or box-ticking. It is about enabling sound judgement, protecting the organisation, and lifting risk maturity so leaders can act decisively and responsibly.
What you’ll be trusted with
Acting as principal adviser to the Chair and Board on directors’ duties, officer responsibilities and contemporary governance practice
Fulfilling all Company Secretary obligations under the GOC Act, Corporations Act, the Constitution and applicable legislation, including oversight of subsidiary entities
Ensuring the organisation meets its statutory functions and obligations, without exception
Maintaining the integrity of company books, records and statutory registers
Providing oversight of the Governance Assurance Framework, ensuring a disciplined and consistent approach to assurance
Holding accountability for enterprise risk management, from identification through to mitigation and remediation
Strengthening organisational risk maturity through effective internal audit, incident management and practical mitigation strategies
What we’re looking for
You are an experienced Company Secretary or senior governance leader who is comfortable operating at Board level in a complex or regulated environment. You bring deep technical knowledge, but more importantly, sound judgement and the confidence to advise, challenge and support senior leaders when it matters.
You are pragmatic rather than theoretical, calm under pressure, and trusted for your integrity and discretion. You understand that governance done well enables momentum rather than slows it down.
