About the Role
Corporate Governance & Company Secretary
Position-specific responsibilities
Along with responsibilities below, this role will perform the duties and responsibilities of a Company Secretary as required by the Constitution, and any other relevant legislation or regulation.
Strategic issues
Facilitate strategic planning processes for the Board and Executive team.
Design and implement a fit-for-purpose risk management and audit strategy, policies, and procedures in line with Mater’s overall strategy.
Contribute strategic thinking on risk management as part of corporate planning and reporting processes and oversee actions to build organisational capability to appropriately manage risk.
Clinical outcomes
Support the Executive team to provide appropriate Health reporting to the Board ensuring the provision of safe, quality, patient-centred healthcare.
Lead the strategic response planning to provide assurance that Mater is able to effectively respond before, during and after an incident or crisis (such as a pandemic, IT outage, physical premises interruption) which may impact Mater’s business operations
Service and operational outcomes
Ensure that Mater complies with its obligations to its member Mercy Partners, canonical responsibilities and statutory obligations under relevant laws and regulations.
Maintain all statutory records and registers (including annual director declarations) ensuring all corporate documents and records are retained as legally required.
Ensure completion and lodgement of statutory forms and returns (excluding tax related returns).
Record and provide advice on declarations and conflicts of interest of Directors, external committee members, and officers.
Manage annual financial reporting in conjunction with the Finance department.
Assist the Chair in ensuring the effectiveness and flow of Board meetings and adherence to related policies and procedures.
Prepare documentation and minutes for Board and Committee meetings in consultation with the Chair of the Board or Committees and Group Chief Executive.
Facilitate and promote an environment where informed risk-based decision making can occur.
Establish frameworks processes which enable the creation of an appropriate risk and audit culture within the organisation.
Establish risk culture within Mater to reflect the sensitivities and complexities of government and relationships with ministers and stakeholders.
Bring an innovative, holistic, and objective lens to decision-making conversations.
Establish programs of work which serve to develop the capability of the organisation to be able to harness opportunities through effective risk management
Financial outcomes
Enhance Mater’s strategic long-term corporate development and strategy management to support the achievement of Mater’s mission, vision and strategic goals.
Interprofessional leadership
Effectively represent, negotiate with and influence colleagues and peers to make and embed change to improve Mater’s growth and sustainability performance.
Identify and implement appropriate training and awareness programs to build the capability of officials to appropriately manage risk and audits.
Manage internal and external relationships across peers, clients, service streams, and functions.
Performance and accountability
Consistently and visibly apply the Mater Values, Code of Conduct and Performance frameworks to address inconsistencies in behaviour, practice or performance, including formal performance management of direct reports where required, in order to role-model and strengthen Mater’s cultural focus on accountability.
Qualifications
A relevant tertiary qualification in Law, Governance or Administration and/or admission as a lawyer is welcomed but not necessary.
Skills, knowledge and experience
Previous experience in a senior role in a complex, geographically diverse, commercial environment.
Previous experience in the not-for-profit and/or health sectors is highly desirable.
Suitably qualified and a deep understanding of and ability to apply the relevant legal, regulatory and commercial requirements.
Well formed in the Christian tradition, with a solid understanding of Catholic ethos.
Embodies qualities aligned to Catholic Social Thought, leaving a positive impression on stakeholders.
Ability to promote the Vision, Mission and Values of Mater.
High attention to detail with excellent organisational skills.
Strong verbal and written communication skills to interact with directors, executives and staff with the ability to successfully anticipate needs as required.
Ability to enunciate views and ideas in board/committee meetings and in discussions with stakeholders.
Ability to understand and navigate complex stakeholder environments and influence to effectively build consensus.
Solid understanding of relevant legislative framework from ASIC and ACNC.
Prior experience as a Company Secretary for a complex corporation or equivalent relevant corporate experience is highly desired.
Significant, proven experience of developing, establishing and maintaining robust relationships with stakeholders.
Experience providing corporate law and governance advice at Board level.
Ability to create and develop collaborative work environments where trust, integrity and open communication are valued.
Proficient in business risk management, strategy and project management.
Ability to drive for resolution.
Demonstrated ability to combine technical, financial and commercial acumen in the delivery of advice and business solutions.
Proven ability to ensure growth/commercial outcomes in line with the corporate strategy.
High level facilitation and influencing skills along with strong decision-making skills with the ability to set priorities, manage, and implement them.
Demonstrates a high level of professionalism and personal integrity.
